These Terms and Conditions ("Terms") govern your use of the TrustRamp website and OTC stablecoin on-ramp services ("Services"). By accessing our website or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility

To use TrustRamp's Services, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Be a resident of India or the United States
• Successfully complete our KYC (Know Your Customer) and AML (Anti-Money Laundering) verification process
• Not be listed on any government sanctions list or be a politically exposed person (PEP) without prior disclosure
• Have a legitimate source of funds for all transactions

2. Services Description

TrustRamp provides over-the-counter (OTC) stablecoin on-ramp services, facilitating the conversion of fiat currency (INR and USD) into stablecoins (USDT, USDC, DAI, PYUSD) for eligible clients. Our minimum transaction size is $5,000 USD equivalent.

TrustRamp is not a cryptocurrency exchange, broker-dealer, or financial advisor. We act solely as an OTC facilitator for stablecoin purchases.

3. KYC/AML Compliance

All clients must complete our identity verification process before any transaction can be processed. This includes providing:

• Government-issued photo identification
• Proof of address
• Source of funds documentation (for transactions above applicable thresholds)
• Any additional information requested to comply with applicable regulations

We reserve the right to refuse service to any individual or entity that fails to meet our verification requirements or raises compliance concerns.

4. Transaction Process

• Quotes: All quotes are indicative and subject to market conditions at the time of execution. Final rates are confirmed at the point of trade execution.
• Settlement: Fiat payments must be made via the designated payment method (IMPS, RTGS, NEFT, Bank Wire for India; ACH, Wire Transfer, FedNow for USA). Stablecoins will only be dispatched to your specified wallet address after the fiat currency has been fully received and settled into TrustRamp's designated bank account. Pending, uncleared, or in-transit payments do not constitute settlement.
• Timing: We aim to dispatch stablecoins within 2 hours of confirmed fiat settlement in our bank account, though delivery times may vary based on banking clearance and blockchain network conditions.
• Irreversibility: Once stablecoins have been sent to your designated wallet address, the transaction is final and irreversible. Please ensure your wallet address is correct before confirming.

5. Fees and Pricing

Our fees are included in the quoted rate provided to you before each transaction. There are no hidden charges. Bank transfer fees charged by your financial institution are your responsibility.

6. Cancellations and Refunds

Orders may be cancelled before fiat payment is initiated. Once payment has been sent and confirmed, cancellation is at TrustRamp's sole discretion. Refunds, if applicable, will be returned to the original payment method minus any costs incurred.

7. Prohibited Activities

You agree not to use our Services for:

• Money laundering, terrorist financing, or any other illegal activity
• Tax evasion or circumvention of financial regulations
• Transactions involving funds derived from illegal or unauthorized sources
• Attempting to circumvent our KYC/AML procedures
• Fraud, impersonation, or providing false or misleading information
• Any activity that violates applicable laws in India or the United States

8. Client Liability for Compromised, Tainted, or Disputed Funds

By using TrustRamp's Services, you represent and warrant that all funds transmitted to TrustRamp are lawfully obtained, free from any legal encumbrance, and not derived from or associated with any illegal, fraudulent, or sanctioned activity.

In the event that funds received by TrustRamp from you — or on your behalf — result in any bank account freeze, hold, seizure, investigation, inquiry, or restriction imposed by any financial institution, regulatory body, law enforcement agency, or court of competent jurisdiction, you shall be solely and fully liable for all resulting consequences.

This liability includes, without limitation:

• The full principal amount of the frozen, seized, or disputed funds
• All penalties, fines, or charges imposed on TrustRamp by any bank, payment processor, or regulatory authority as a direct or indirect result of receiving your funds
• All legal fees, attorney costs, compliance costs, and administrative expenses incurred by TrustRamp in responding to, resolving, or defending against any inquiry, investigation, or legal proceeding arising from your funds
• Any loss of business, revenue, or operational capacity suffered by TrustRamp due to account restrictions or closures caused by your funds
• Compensation for reputational harm sustained by TrustRamp

You agree to indemnify, defend, and hold harmless TrustRamp against any and all claims, losses, damages, costs, and liabilities arising from the receipt of compromised, tainted, flagged, or disputed funds from you. This obligation survives the completion or cancellation of any transaction and the termination of your relationship with TrustRamp.

TrustRamp reserves the right to withhold, delay, or reverse any transaction — and to suspend or terminate your access to Services without notice — if TrustRamp suspects, in its sole discretion, that funds may be compromised or that your account activity poses a risk to TrustRamp's banking relationships or regulatory standing.

You acknowledge that TrustRamp operates as a financial intermediary and that the integrity of its banking relationships is essential to its business. Any action by you that jeopardizes those relationships constitutes a material breach of these Terms.

9. Risks

You acknowledge and accept the following risks:

• Stablecoin values may fluctuate, and de-pegging events can occur
• Blockchain transactions are irreversible once confirmed
• Cryptocurrency regulations may change, potentially affecting our ability to provide Services
• Technical failures, network congestion, or third-party service disruptions may delay transactions
• You are solely responsible for the security of your wallet and private keys

10. Limitation of Liability

To the maximum extent permitted by law, TrustRamp shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services. Our total liability for any claim shall not exceed the fees paid by you for the specific transaction giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless TrustRamp, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our Services, your violation of these Terms, or your violation of any applicable law.

12. Intellectual Property

All content on the TrustRamp website, including text, graphics, logos, and design, is the property of TrustRamp and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written consent.

13. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our Services after changes are posted constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where the transaction is executed — the laws of India for INR transactions and the laws of the United States for USD transactions.

15. Dispute Resolution

Any disputes arising from these Terms or your use of our Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in the applicable jurisdiction.
